| The downturn of 2008-2009 has been the
harshest and deepest in modern times with the de-leveraging of nearly
all businesses in full force. Our customers are continuing to successfully
manage their businesses in this challenging environment today but
are simultaneously preparing for better times by training their staff,
upgrading their internal processes, sharpening their focus on cost
efficiencies and taking prudent risks to ensure that their organizations
are firmly focused on consistent returns in the future. |

| Although times
are especially difficult now, we are not cancelling or delaying any
of our development projects at the current time for the reason that
goes directly to the core of our mission - Invera provides our customers
with systems that assist them in managing and developing their businesses
and offers the potential to make a real difference in their operational
profitability. Against this economic backdrop, we encourage our customers
to use this "downturn" to become even more competitive and
exceptional with our upgraded products and services. |

STRATIX
Our investment in STRATIX continues at an aggressive and unmatched pace,
in our dedication to make STRATIX an industry product with best-in-class
features and best business practices for metal distribution and processing.
In 1997, we began the STRATIX development to overhaul, modernize and improve
every aspect of our product for our customers. Since the first release in
January 2001, we have delivered 7 major releases, encompassing significant
product development with features and functions based on our extensive customer
base, 30+ years of metal experience and a commitment to enhance our customers'
sales, financial and operational excellence using proven industry standard
technologies. All the while, we have been upgrading the user functionality
and product performance based on field experience. |

| STRATIX now operates at companies who have a complete and
diverse set of product lines and perform single and multi-step processing
with the complete range of metals including carbon steels, specialty alloys,
aluminum, stainless, bronze, red metals and titanium etc. The current status
of STRATIX installations as of May, 2009 is as follows: |
- Users - 5,000+
- Branch/Warehouse Locations - 125+
- STRATIX Customer Annual Sales - From $10 million to $2+ billion
- Operational Countries: USA, Canada, Mexico, Austria, Belgium, Dubai,

| In the past year, STRATIX has been installed in over 14 companies
in the US, UK, Germany, Netherlands, Turkey and Dubai. For 2009 and beyond,
our plan to-date is to implement 13 more companies in addition to adding
implementations in Spain and Portugal. |

STRATIX 8.0
STRATIX 8.0 was released on April 13, 2009 and a very successful live implementation
was done two weeks later at Staub Metals. Some of the major additional functions
include:
User Access & Security - Substantial
enhancements user access and security, specifically to assist in managing
multi-branch and multi-warehouse operations.
Capacity Planning - In addition to accurate
depiction of available capacity for processing activities, the new capacity
and scheduling function now includes:
- Order due date validation against actual capacity during quote and
order entry
- Provision of earliest attainable date, if requested date cannot be
met
- Summary capacity information for booked Orders & Jobs at the Process
Work Center and Process Work Group levels
- Gateways for integration with external capacity optimization sub-systems.
Vehicle Scheduling - Maintains the arrival
and departure schedules for transport vehicles for each company Warehouse
and Date for loading/unloading, along with the scheduled date and scheduled
time.
STRATIX/TOLL - Designed for customers
that process and store a high volume of customer-owned material that includes
automated Invoicing at time of shipment or production.
STRATIXexec - Re-engineered with a Web-based
client interface to increase flexibility and centralize the system management
of multiple STRATIX operational instances, users, licensed products and
client devices.

MIGRATION TO STRATIX
STRATIX 8.0 contains a new set of implementation and conversion tools for
STELPLAN and eSTELPLAN or other legacy systems. Documentation for STRATIX
and its implementation is entirely metal industry focused and includes standard
business cases and industry best practices. Additionally, STRATIX Business
Best Practices include step by step instructions on how to perform hundreds
of real-life metal-center scenarios. Customers can easily adapt and tailor
the standard documentation. This is complemented by a full suite of easy-to-follow
videos that could replace some formal training classes. |

eSTELPLAN
The release of eSTELPLAN 3.1 in June, 2009. One of the major items in this
release is the ability to migrate STELPLAN databases from STELPLAN 8.08
directly to eSTELPLAN 3.1. Our installation activity on our eSTELPLAN upgrade
platform over the last year includes several Reliance Steel and Aluminum companies
and an additional eight companies in the US and Canada. |

INVERA ON-DEMAND via the Net
ON-DEMAND allows our customers use the STRATIX or eSTELPLAN via the Net.
All software applications and data are hosted at the Invera Technology Center
eliminating the capital and expense of acquiring, hardware on their premises
and the related operational staffing and management. At the present time
14 Invera Customers utilize our ON-DEMAND service representing nearly 500
users at 22 locations. |

INSTAR
Invera offers INSTAR to ensure the efficient and uninterrupted operation
of critical business systems enabling Customers to leverage their existing
relationship with Invera and extend the high level of Invera product support
provided. The key aspects of INSTAR include operational & recovery support,
automated system monitoring, installation services and 7 x 24 standby/ emergency
support. |
